Abstract

ABSTRACT The study entitled the legal characteristics in a joint enterprise agreement aims to find out and understand and how the legal characteristics in a joint enterprise agreement. A contract is a legal act by which one or more people commit themselves to one or more other people. Related to research, a joint enterprise is a joint venture. So a joint enterprise agreement is a joint venture agreement, where the two companies form a new company. The research method used in this thesis uses the Normative writing research method which is library research, namely research on laws and regulations and literature relating to the material discussed. Based on the results of this paper, it can be concluded that the agreement to be made must meet the requirements contained in the Civil Code. So that the agreement becomes valid. ABSTRAK Penelitian yang berjudul karakteristik hukum dalam perjanjian joint enterprise bertujuan untuk mengetahui dan memahami serta bagaimana karakteristik hukum dalam perjanjian joint enterprise. Perjanjian adalah perbuatan hukum dengan mana satu orang atau lebih mengikatkan dirinya terhadap satu orang lain atau lebih. Terkait dengan penelitian, joint enterprise adalah perusahaan patungan. Jadi perjanjian joint enterprise adalah perjanjian perusahaan patungan, dimana dua perusahaan tersebut membentuk sebuah perusahaan baru. Metode penelitian yang digunakan dalam skripsi ini menggunakan metode penelitian penulisan Normatif yang merupakan penelitian kepustakan, yaitu penelitian terhadap peraturan perundang – undangan dan literature yang berkaitan dengan materi yang dibahas. Berdasarkan hasil penulisan ini dapat disimpulkan bahwa perjanjian yang akan dibuat harus memenuhi syarat yang terdapat dalam KUH Perdata. Supaya perjanjian tersebut menjadi sah. Kata Kunci : perjanjian, joint enterprise.
