Abstract
Badan Usaha Milik Negara (BUMN) embody the state's role in managing strategic sectors to support national economic development and achieve public welfare, as mandated by the 1945 Constitution of the Republic of Indonesia. Within the BUMN organizational structure, the Board of Commissioners plays a crucial role in supervising and advising the Board of Directors to ensure that company management adheres to the principles of good corporate governance. However, in practice, the phenomenon of Deputy Ministers holding concurrent positions on the Board of Commissioners of BUMN persists, raising legal issues and potentially creating conflicts of interest. The issues discussed in this study include the legal regulations in Indonesia regarding the prohibition on Deputy Ministers holding concurrent positions as commissioners of BUMN and the implications of such concurrent positions for the implementation of Good Corporate Governance principles. This study aims to analyze the legal certainty of the prohibition on Deputy Ministers holding concurrent positions as commissioners of BUMN and to examine the impact of this concurrent position on the principles of accountability, independence, and responsibility in BUMN governance. The research method used is normative legal research with a statutory and conceptual approach, through a review of statutory regulations, Constitutional Court decisions, and relevant legal doctrines and literature. The results of the study indicate that normatively the prohibition on Deputy Ministers holding concurrent positions as members of the Board of Commissioners of State-Owned Enterprises has been affirmed through various regulations, particularly Constitutional Court Decision Number 128/PUU�XXIII/2025 and amendments to the BUMN Law. However, granting a transitional period in the implementation of this prohibition has the potential to create legal uncertainty and open up space for conflicts of interest that can hinder the implementation of Good Corporate Governance principles. Therefore, consistency and firmness in the implementation of regulations are needed to ensure legal certainty and realize professional, independent, and accountable BUMN governance.
